1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and STRATROAD SAS (SIREN: 942416926), a French société par actions simplifiée ("Company," "we," "us," or "our").

By using StopVeille, you represent that you are at least 16 years old and have the legal capacity to enter into this agreement.

2. Description of Service

StopVeille is a Chrome browser extension that provides two main functions:

• Free Version: Prevents your computer from entering sleep mode
• Premium Version: Additionally maintains your "available" status on Microsoft Teams

IMPORTANT: The Extension works only with Microsoft Teams in the Chrome browser, not the desktop application.

3. User Responsibilities and Acceptable Use

3.1 Your Obligations

YOU ARE SOLELY RESPONSIBLE FOR:

• Ensuring your use of the Extension complies with your employer's policies, workplace regulations, and company guidelines
• Verifying that using StopVeille does not violate any agreements you have with your employer or organization
• Any consequences arising from your use of the Extension, including disciplinary actions, termination, or legal consequences
• Your own decision to use the Extension - you make this choice independently and at your own risk
• Maintaining the security of your account credentials and subscription information

3.2 Prohibited Uses

You agree NOT to:

• Use the Extension to deceive, mislead, or misrepresent your actual availability or work status
• Violate any applicable laws, regulations, or third-party rights
• Reverse engineer, decompile, or attempt to extract the source code of the Extension
• Resell, redistribute, or sublicense the Extension
• Use the Extension for any illegal or unauthorized purpose
• Interfere with or disrupt the Extension's functionality

4. Subscription and Payment Terms

4.1 Pricing

• Free Version: €0 - System sleep prevention only
• Premium Monthly: €3.49/month - All features including Teams status
• Premium Yearly: €34.90/year (17% savings) - All features including Teams status

All prices are in Euros (EUR) and inclusive of applicable taxes where required by law.

4.2 Payment Processing

All payments are processed securely through Stripe. By subscribing to Premium, you authorize us to charge your payment method on a recurring basis (monthly or yearly).

4.3 Auto-Renewal

YOUR SUBSCRIPTION AUTOMATICALLY RENEWS at the end of each billing period unless you cancel before the renewal date. You will be charged the then-current subscription price.

4.4 Cancellation

You may cancel your Premium subscription at any time through the Extension's "Manage Subscription" button or by contacting support. Cancellation takes effect at the end of your current billing period. You will retain access to Premium features until that date.

BY USING STOPVEILLE, YOU EXPLICITLY ACKNOWLEDGE AND AGREE THAT:

• You are using the Extension entirely at your own risk and discretion
• You are solely responsible for determining whether the Extension is appropriate for your workplace
• We have no responsibility for consequences arising from your employer's policies or reactions to Extension use
• The Extension may not work as expected in all situations and configurations
• Microsoft may change Teams functionality at any time, affecting the Extension's operation
• We may modify, suspend, or discontinue the Extension at any time without notice
• No refunds will be provided under any circumstances
• You have read and understood the risks associated with using status-maintaining tools

9. Intellectual Property Rights

The Extension, including all content, features, functionality, source code, and design, is owned by STRATROAD SAS and protected by international copyright, trademark, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable, revocable license to use the Extension for personal or internal business use only.

10. Third-Party Services

The Extension interacts with third-party services including:

• Microsoft Teams: We are not affiliated with, endorsed by, or sponsored by Microsoft Corporation
• Stripe: Payment processing is subject to Stripe's terms and conditions
• Google Chrome: Extension functionality depends on Chrome's APIs and policies

WE ARE NOT RESPONSIBLE for any changes, interruptions, or issues caused by these third-party services.

11. Modifications to Service and Terms

We reserve the right to:

• Modify or discontinue the Extension at any time without notice
• Change pricing for new subscriptions (existing subscriptions maintain current pricing until renewal)
• Update these Terms at any time - continued use constitutes acceptance
• Refuse service to anyone for any reason
• Terminate accounts for Terms violations

12. Account Termination

We may suspend or terminate your access to the Extension immediately, without prior notice or liability, for any reason, including:

• Violation of these Terms
• Fraudulent or abusive behavior
• Payment failures or chargebacks
• At our sole discretion for any reason

NO REFUNDS will be provided upon termination for any reason.

13. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of France, without regard to its conflict of law provisions.

Any disputes arising from these Terms or your use of the Extension shall be subject to the exclusive jurisdiction of the courts of France.

14. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

15. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and STRATROAD SAS regarding the Extension and supersede all prior agreements and understandings.
